Memorandum of Association and Articles of Association are regarded as the supreme legal document of a Organization.

They both are considered to be constitution of your Organization.

Basically a MoA and an AoA are the sources from which an Organization derives its existence. Both of these documents contribute to Organization by providing clear cut path way/guidelines as to how and what the Organization would work upon.
They are considered as the public documents and can be accessed by stakeholders of the Organization.

Memorandum of Association

Memorandum of Association is one of the documents which have to be filed with the Registrar of Companies (ROC) at the time of incorporation of a company.
MoA lays down the main objectives for which your Organization is formed.
It mainly includes information about clause of limited liability, object clause, name, and registered office etc.

An MoA and AoA are supreme like our Constitution is!

Articles of Association

On the other hand Articles of Association provides for short term objectives which are required to support the main objectives of MOA like Powers, liabilities of members etc.
As far as the MOA is concerned it is (in a way) on a higher pedestal than AOA.
The provisions of the AOA must not be in conflict with the provisions of the MOA. In case such a conflict arises, the MOA will prevail.
